STRATENITY MASTER SUBSCRIPTION TERMS OF SERVICE Applies to all Stratenity Inc. subscription products · Read with the applicable Product Schedule · Effective May 29, 2026

AT-A-GLANCE

By creating an account for, accessing, or using any Stratenity subscription product (each, a "Service"), you ("you," "your," or "Subscriber") agree to these Master Subscription Terms of Service (the "Master Terms") together with the Product Schedule applicable to that Service. Each Service is operated by Stratenity Inc., a Delaware corporation (the "Company," "Stratenity," "we," or "us"). Individual Stratenity products are offered under product brands — including VelorStrategy (Workspace), the Stratenity Library, OneMind Strata, and StratenAI — each of which is a product or brand of Stratenity Inc. and not a separate legal entity. Your contract is with Stratenity Inc.

If you do not agree to these Master Terms and the applicable Product Schedule, do not create an account or use the Service.

1. STRUCTURE OF THIS AGREEMENT

(a) Master Terms + Schedule. These Master Terms set the baseline rules common to every Stratenity subscription product. Each Service has a Product Schedule that describes that specific Service, its subscription tiers and pricing, its trial terms, and any product-specific rules. The Master Terms and the applicable Product Schedule are to be read together as a single agreement for that Service.

(b) Order of precedence. If a term in a Product Schedule conflicts with these Master Terms, the Product Schedule controls — but only for the Service that Schedule governs, and only to the extent of the conflict.

(c) Multiple Services. If you subscribe to more than one Stratenity Service, these Master Terms apply to each, and each applicable Product Schedule applies to its respective Service.

2. ELIGIBILITY & ACCOUNT REGISTRATION

(a) You must be at least 18 years old and able to form a binding contract to use a Service.

(b) You register with a valid email address and create a password. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

(c) You agree to provide accurate account and billing information and to keep it current.

3. ACCEPTANCE & CHANGES TO TERMS

(a) Acceptance. You accept these Master Terms and the applicable Product Schedule by checking the acceptance box at signup, or by accessing or using the Service.

(b) Changes. We may modify these Master Terms or any Product Schedule by posting a revised version with a new effective date. Material changes will be communicated by email to active Subscribers at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree to a change, your remedy is to cancel before it takes effect.

4. SUBSCRIPTION, BILLING & TRIALS

(a) Tiers and pricing are stated in the applicable Product Schedule.

(b) Trials. Where a Product Schedule offers a free trial, the trial terms (length, credit-card requirement, conversion behavior) are stated in that Schedule. Where a trial requires no payment method, no charge is made unless and until you add a payment method and your paid subscription begins.

(c) Recurring billing. Paid subscriptions bill on a recurring basis (monthly or annually, per the Schedule) on the date your paid subscription begins, until canceled. Payment is processed by our third-party payment processor (Stripe Payments, Inc.).

(d) Taxes. Stated prices are exclusive of applicable taxes. We collect and remit tax where we are registered and required to do so; tax is added to your charges where applicable.

(e) Price changes. We may change pricing on 30 days' notice. You may cancel before a change takes effect.

5. CANCELLATION & REFUNDS

(a) Cancellation. You may cancel any subscription at any time, without penalty, via your account's subscription management portal (operated by Stripe Payments, Inc.). Cancellation takes effect at the end of your current billing period; you retain access through the end of that period.

(b) No partial refunds. Once a billing period is paid, that period is non-refundable and we do not pro-rate. Refunds for billing errors and any product-specific refund terms are addressed in the applicable Product Schedule or Refund Policy.

(c) Billing errors. If you were charged in error — a duplicate charge, a charge after a confirmed cancellation, or a charge at an incorrect tier — contact us and we will refund the affected amount within 5 business days.

6. PERMITTED USE & ACCEPTABLE USE

(a) You may use the Service only for lawful purposes and in accordance with these Master Terms, the applicable Product Schedule, and the Stratenity Acceptable Use Policy (incorporated by reference).

(b) You shall not: (i) use the Service in violation of applicable law; (ii) reverse-engineer, scrape, or use automated means to extract content or data except as expressly permitted; (iii) share credentials outside your organization except under a multi-seat license; (iv) interfere with or disrupt the integrity or performance of the Service; or (v) use the Service to build or assist a competing product.

7. INTELLECTUAL PROPERTY

(a) Stratenity ownership. The Service, including all software, designs, methodologies, templates, content, and other materials we provide or make available (collectively, "Stratenity Materials"), is owned by Stratenity Inc. and protected by U.S. and international intellectual-property laws.

(b) Limited license to you. We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and Stratenity Materials as permitted by these Master Terms and the applicable Product Schedule, solely during an active subscription. This is a license, not a sale; no ownership transfers.

(c) Stratenity marks. Stratenity, VelorStrategy, OneMind Strata, StratenAI, Stratenity Advisory, the Operating Graph, and related marks are trademarks of Stratenity Inc. and may not be used without our prior written consent.

8. YOUR CONTENT

(a) Your ownership. As between you and Stratenity, you retain all ownership of any content, data, or materials you create, upload, or submit to the Service ("Your Content").

(b) License to operate the Service. You grant Stratenity a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely as necessary to provide and maintain the Service to you, to provide support, and to comply with law. This license ends when Your Content is deleted from the Service, except for residual backup copies retained for a commercially reasonable period and any retention required by law.

(c) No other use. We will not use Your Content for any purpose other than providing the Service to you, except as you expressly authorize in writing or as Section 9 permits.

(d) Responsibility. You are responsible for Your Content and for ensuring you have the rights necessary to submit it and to grant the license in Section 8(b).

9. STRATENITY AI TRAINING NON-USE REPRESENTATION

Stratenity Inc. represents and warrants that it does not, and will not, use:

(a) Your Content or any other data you provide to, or that is processed through, the Service on your behalf; or

(b) Any deliverables or materials furnished to you through the Service — including templates, reports, analyses, or other work product —

as input to train, fine-tune, evaluate, benchmark, or otherwise improve any machine-learning model, large language model, generative AI system, or other artificial-intelligence system, whether for Stratenity's own use or for the benefit of any third party. This representation survives termination of your subscription.

Permitted carve-outs. The foregoing shall not restrict Stratenity from: (i) using your data solely to provide the Service to you, including any AI-assisted features made available to you as part of the Service; (ii) processing fully de-identified, aggregated statistical metadata that cannot reasonably be re-identified to you, solely for service operations, security, and performance improvements that benefit all customers generally; and (iii) any use to which you have expressly consented in writing.

10. PRIVACY

Your personal data is collected and processed in accordance with the Stratenity Privacy Policy applicable to the Service, incorporated by reference. Where a Service processes personal data on your behalf as a processor, a Data Processing Addendum is available on request.

11. TERM & TERMINATION

(a) Subscriptions continue per the billing cycle in the applicable Product Schedule until canceled.

(b) We may suspend or terminate your account immediately for material breach of these Master Terms, the applicable Product Schedule, or the Acceptable Use Policy, with no refund.

(c) On termination, your right to access the Service ends. Any post-termination license to retain or use materials is stated in the applicable Product Schedule.

12. DISCLAIMERS

THE SERVICE AND ALL STRATENITY MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

ANY CONTENT, OUTPUTS, OR MATERIALS PROVIDED THROUGH THE SERVICE ARE FOR PROFESSIONAL AND INFORMATIONAL PURPOSES AND ARE NOT LEGAL, FINANCIAL, MEDICAL, OR OTHER PROFESSIONAL ADVICE. YOU MUST CONSULT QUALIFIED PROFESSIONALS BEFORE ACTING ON THEM.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRATENITY'S TOTAL LIABILITY UNDER THESE MASTER TERMS AND ANY PRODUCT SCHEDULE SHALL NOT EXCEED THE FEES YOU PAID FOR THE APPLICABLE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM. STRATENITY IS NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA.

14. INDEMNIFICATION

You shall indemnify and hold Stratenity harmless against any third-party claim arising from (a) Your Content, (b) your use of the Service in violation of these Master Terms or the applicable Product Schedule, or (c) your violation of applicable law or the rights of any third party.

15. MISCELLANEOUS

(a) Governing law: State of Delaware, without regard to conflict-of-laws principles.

(b) Jurisdiction: Exclusive jurisdiction in the state and federal courts located in Delaware.

(c) Entire agreement: These Master Terms, the applicable Product Schedule, the Privacy Policy, the Acceptable Use Policy, and any incorporated addenda constitute the entire agreement for the applicable Service.

(d) Severability: If any provision is held invalid, the remainder remains in effect.

(e) No waiver: Failure to enforce any provision is not a waiver of it.

(f) Assignment: You may not assign this agreement without our consent; we may assign it to an affiliate or successor.

(g) Notices: We send notices to the email registered with your account; you send notices to advisory@velorstrategy.com.

VELORSTRATEGY WORKSPACE — PRODUCT SCHEDULE A product of Stratenity Inc. · Operated at velorstrategy.com · Effective May 29, 2026

AT-A-GLANCE

This Product Schedule governs your subscription to the VelorStrategy Workspace (the "Service"), a product of Stratenity Inc. operated at velorstrategy.com. It is part of, and incorporates, the Stratenity Master Subscription Terms of Service (the "Master Terms"). Capitalized terms not defined here have the meaning given in the Master Terms. Where this Schedule conflicts with the Master Terms, this Schedule controls for the VelorStrategy Workspace only.

VelorStrategy is a product and brand of Stratenity Inc. It is not a separate legal entity. Your contract is with Stratenity Inc.

1. SERVICE DESCRIPTION

The VelorStrategy Workspace is a subscription software application for strategic execution work. It provides a unified workspace for strategic execution — projects and PMO, AI copilots, sales and CRM tools, legal tools, career tools, and learning, supported by the Velora AI assistant. The Service is provided on a software-as-a-service basis and is accessed through velorstrategy.com.

2. SUBSCRIPTION TIERS & PRICING

(a) Tiers. Two monthly tiers: (i) Workspace — $19 per month; and (ii) Straten AI — $49 per month, which includes Workspace access. No annual plan is offered at this time.

(b) Trial. The Workspace tier includes a 1-day free trial; the Straten AI tier includes a 3-day free trial. At the end of the trial, your subscription continues as the applicable paid monthly plan unless you cancel before the trial ends. Where a trial requires no payment method, no charge occurs unless and until you add a payment method and the paid subscription begins.

(c) Billing. Recurring monthly billing on the date your paid subscription begins, processed by Stripe Payments, Inc. Prices are exclusive of applicable taxes (Master Terms §4(d)).

(d) Cancellation. You may cancel at any time via the subscription management portal on your account page; cancellation takes effect at the end of the current billing period (Master Terms §5). Once a billing period is paid, that period is non-refundable.

3. PERMITTED USE — VELORSTRATEGY SPECIFIC

In addition to the Acceptable Use rules in Master Terms §6, when using the VelorStrategy Workspace you shall not:

(a) use the Service to store, process, or transmit any data you are not authorized to handle;

(b) exceed any usage, seat, or storage limits stated for your tier;

(c) use the Service to provide a substantially similar workspace or strategy-execution service to third parties on a resale basis without a separate written agreement; or

(d) circumvent or attempt to circumvent any access control, seat limit, or metering.

4. DATA SCOPE & YOUR CONTENT (v1.0)

(a) Data stored in v1.0. As of the v1.0 launch, the VelorStrategy Workspace stores account data, billing data, and usage/analytics data about your use of the Service. Your personal data is handled per the VelorStrategy Privacy Policy.

(b) Your Content. To the extent you create, upload, or save content within the Workspace, you own it and Stratenity hosts and processes it solely to provide the Service to you, under the license in Master Terms §8. Stratenity does not use Your Content to train AI (Master Terms §9).

(c) Future data scope — DPA trigger. If and when the Workspace is expanded to store your clients' confidential data, special-category personal data, or substantial user work product on your behalf, a Data Processing Addendum (DPA) will be made available and required, and Stratenity's internal client-data handling controls will apply. This Schedule will be updated accordingly.

5. SERVICE AVAILABILITY

The Service is provided on an "as available" basis (Master Terms §12). Stratenity targets commercially reasonable availability but does not guarantee uninterrupted access at the v1.0 tier. Any committed service levels, if offered, will be stated in a separate Service Level Agreement.

6. POST-CANCELLATION

On cancellation, you retain access through the end of your paid billing period. After that, your right to access the Workspace ends. You may export Your Content before the period ends; Stratenity is not obligated to retain Your Content after a commercially reasonable period following termination, subject to any legal retention requirement.

7. TERM

This Schedule is effective for the duration of your VelorStrategy Workspace subscription and is governed in all respects by the Master Terms, including governing law (Delaware), limitation of liability, and dispute resolution.
